Utan att ha lagt mig i diskussionen tidigare vill jag komma med en
kort kommentar.

Vivat Anestorra! Drachenwald har mycket st|rre sk{l att bryta sig ur
BoDs grepp, men {nd} var de f|rst! Problemet {r v{l, att det {r sv}rt
att se hur det ska g} till p} b{sta s{tt i Drachenwald, med alla olika
l{nder och lagar.

F|rs{kringarna kan vi l{mna d{rh{n, de har vad jag vet aldrig
utnyttjats i Nordmark och s{kert mycket s{llan p} denna sida Atlanten.
Jag tror att den st|rre faran {r att vi isolerar oss fr}n "leken" i
(det forna) SCA. Vad h{nder till exempel om det finns lokalgrupper som
inte vill bryta sig ur SCA inc.? T{nk om de forts{tter vara anslutna
till SCA och g}r in i t.ex. \stra Konungariket? Det viktiga {r att
"leken" kan fort{tta som f|rut, och d{r finns det v{l ngt dokument
fr}n Estrella som ska garantera det? Eller?

Unto the good gentles of the Known World does Baron Hossein Ali Qomi and
the Committee to Save Our Society send greetings!

We wholeheartedly support the decisions of the Ansteorran Crown and populace
announced at Steppes Warlord.  Their Majesties Inman and Athena have
decreed, with the support of their officers and subjects, that Ansteorra
will not implement the new waiver, the Board-mandated non-member surcharge,
nor the pay-to-fight requirement.  Their Majesties have further indicated
that Ansteorra has informed the Board that the kingdom is taking steps to
immediately form a Texas-based non-profit corporation to support kingdom
activities and that insurance for events will be provided through this
new kingdom corporation.

We believe that the courageous Crown and People of Ansteorra have shown our
Society the path to genuine reform.  They have not seceded from the SCA --
they have shown that we can reclaim the SCA for the people who comprise it:
the populace.  Their defiance of unjust and unreasonable Board policies
make it absolutely clear that the game we love can and will continue
without Board interference.

We believe that these historical decisions of the Kingdom of Ansteorra
should be supported throughout the Known World.  We urge all those who support
reform to write to Their Majesties of Ansteorra to express their support
for these actions.  Their address is:

We also believe that those who support the cause of reform should write to
their Crowns urging them to adopt the policies decreed at Steppes Warlord:
no implementation of the new waiver, no implementation of the non-member

Crowns should be urged to proceed immediately with incorporation of every
kingdom.  We urge you to ask the Crowns to support Ansteorra's actions with
a reaffirmation of the Estrella Compact.  Let them tell the Board in no
uncertain terms that the Laurel Kingdoms stand together!

Write your Crown.  Tell them how you feel on these issues.  The
Crowns will be meeting in An Tir in less than two weeks for the Royal
Council.  They need to know your opinion now.

The Crown and People of Ansteorra need our support.  They have acted to
defend all of us.  Let those who cherish freedom and reform stand shoulder
to shoulder with those in Ansteorra who have taken the foremost rank in
our struggle.

Greetings from Hossein!
	I have just spoken with HRM Inman and he has asked me to clarify
the legal and ethical basis of the decrees at Steppes Warlord so that the 
actions will not be misunderstood.
	On the advice of legal counsel the Crown and Officers of the
Kingdom of Ansteorra have determined that the waiver which the kingdom was
ordered by the corporation to implement on June 1 violates Texas law.
They have further been advised by the populace of the kingdom that the
populace will not sign this waiver.  Under the circumstances, the Crown
has determined that the waiver will not be implemented.  Since official
events of SCA, Inc. cannot be held under corporate policy without this
waiver, until the illegal waiver is rescinded all events will be held 
without official sanction.  The formation of a Texas-based non-profit
corporation is an attempt to facilitate procurement of insurance for these
unofficial events.  Furthermore, since these events will not be held with
the official sanction of SCA, Inc., the kingdom is under no obligation
to enforce the non-member surcharge or the pay-to-fight requirement at such
unofficial events.
	His Majesty made it clear that Ansteorra is not seceding from the SCA,
but engaging in civil disobedience on the basis of legal and ethical
objections to the currently mandated waiver and the other unreasonable
policies imposed by the corporation.

    Having received a copy of your "Report to the Seneschals" yesterday, 
    and noting that this is my first OFFICIAL report of actions taken at 
    the April Board of Directors Meeting, I note that the Board wishes 
    changes made that affect the procedures within my office.

    Specifically--the new waiver.


    Even if I could see no problems with the document, the Board's 
    expressed policy, conflict with previously existing (and probably 
    unchanged) PUBLISHED items in the Society's governing documents, and 
    major questions concerning this change relating back to the 
    publically stated intentions of the Board over the last year and a 
    half, there simply is not time to implement such a policy change on 
    your schedule.


    My first question is:  who determined the start date for use of the 
    new waiver?

    Surely, after the fiasco over the new membership cards, which took 
    the better part of a year to be implemented--and implemented very 
    badly with that much lead time--you are not suffering from any 
    delusions that the Society makes changes quickly?


    On substantive issues, I have several questions and many problems 
    with the new waiver.

    To begin with, your letter notes that no changes may be made to the 
    text.  Since the waiver contains no way to distinguish between 
    members and non-members (as my present Gate forms do), and no way to 
    determine threshhold ages for minors, this form will result is a 
    degradation of already weak (though adequate) accounting of site fees 
    and donations.  It will also eliminate any chance of gathering the 
    statistical data that are at the heart of the commonly held 
    contention that the Society has many many active non-members.

    In your letter you state that forms are available from the Central 
    Office.  Is it your intent that I be able to order these forms in 
    bulk for redistribution to all Western Constables, or would it be 
    preferable for me to send a set of mailing labels, a cover letter for 
    duplication, and the quanties needed by each Constable?  Please note 
    that the initial quantity I will need as Kingdom Constable will 
    probably be in the range of 5000.  I will need this ON HAND before 
    the actual implementation date.  My four Principality Constables will 
    probably need 1000 to 2000 to begin with.  These figures do not 
    include enough to cover fighting practices, since (as you state), 
    there is generally not any form of established Gate at that activity.  
    How many the Marshalls will need is anyone's guess.  I would not be 
    surprised, however, if their quantities run in excess of my 
    requirements.

    The West, as you are surely aware, encompasses several countries 
    other that the United States.  Most obvious is Australia.  What 
    little I know of Australian law suggests that, not only is this 
    waiver not binding in Australian law, but it may be flatly illegal to 
    even ask that it be signed.  Has the SCA's counsel (who I presume is 
    the author of this document) even CONSIDERED the laws of other 
    nations?  Then there are the questions about the other countries the 
    West covers:  Taiwan (with which country we don't even have formal 
    diplomatic relations), Japan, Korea, and Tinian.  Guam is a US 
    territory, but local politics there appear to be quite conservative, 
    and absent a knowledgable source, I hesitate to even speculate about 
    potential problems.

    I have the explicit statement from a practicing attourney in the 
    State of California that the waiver text is "over broad."  Having 
    read it, I have to agree.  That document holds everything but the 
    kitchen sink harmless and promises recompense to the Society for 
    actions having nothing to do with the Society or any of its members 
    or officials.

    Is it the Board's intention to reduce the size of the Society?  The 
    indemnification clause is one that several of the people I know will 
    flatly refuse to sign--including the lawyer I just mentioned.  I know 
    many people who have no intention of ever suing the Society, but who 
    will balk at promising to pay the Society's legal bills for 
    (potentially) third party actions.
    
    Locally, we have people who work in the Health Insurance field.  
    While not in a position to give legal opinions, they have noted that 
    there are clauses in the waiver that will invalidate the medical 
    insurance of many people.  I think you can see why this can (and 
    probably will) be seen as reaching too far.  Surely it is not the 
    Board's intent to prevent collecting on legitimate medical claims 
    should some event injure a Society member?  If you knew that your 
    medical insurance wouldn't pay for anything that happened while you 
    were covered by that waiver would YOU sign it? 

    As near as I can tell, this waiver prevents legal actions against any 
    stray non-SCA folk that may wander onto site.  I don't know about the 
    conditions at events that you are familiar with, but many of our 
    events are held in open, public parks.  In some cases, we do not have 
    any authority at all to chase strays away--let alone actually bar 
    them from the premises.  The best we can do is to see that they don't 
    wander too close to the field.  This waiver doesn't protect the 
    Society from such "strays," and even requires SCA folk to pay for any 
    actions such "strays" start.  Note that this has nothing to do with 
    whether or not any legal actions arising from such persons have 
    anything whatever to do with the Society.  Under this waiver, if some 
    random person walks up and punches you in the nose--you have promised 
    not to take legal action against him. 

    When the indemnification clause is considered, anyone signing the 
    waiver has promised to pay the Society's bills if the Society decides 
    to sue the guy that punched you in the nose.  Don't you think that's 
    going a little too far?  Six months ago, I would have considered it 
    unlikely that the Society would ever try to collect its fees from 
    those attending an event, but recent actions--including having to be 
    told by a Court to obey its own By-Laws--does not give me any sense 
    that such an outrage would be avoided.  Best, I think, not to give 
    the Society any opening wedge to make the attempt.

    At best, there is an asterisk missing.  Probably at the end of the 
    bold face, all caps, underlined text that begins "This is a legal 
    document..."  As the waiver appears, I must question that it can be 
    properly executed by any minor, since the name and signature block 
    appears immediately below that statement.  I ask you to imagine 
    trying to tell a court that a minor--ANY minor--"read and understood" 
    that text.  I know entirely too many adults that don't know what 
    "indemnify" means to make any assumptions about minors.

    To the best of my understanding of the law, in California at least, 
    an adult may not legally waiver a minors right to sue.  Given that, 
    and absent anyone who knows different, I must assume that this waiver 
    is completely worthless for any minor, and being worthless in this 
    context is a complete waste of time, energy, and paper.

    The language of the waiver makes it unclear how extensive the 
    activities covered are.  Does making an ice run to the nearsest store 
    come within the meaning of this waiver?  The language certainly 
    permits such an interpretation if the trip involved wouldn't have 
    taken place if the event from which the run is made wasn't held.  
    Again this speaks to the extreme breadth of the language.  

    Since, as I noted above, many of our sites do note have controllable 
    entry points, I can make no promise that everyone "on site" has 
    signed in.  I can, at best, make a good faith effort to see that all 
    participants have signed in, and I can try to persuade as many random 
    outsiders as are willing to do so.  I do not begin to pretend that 
    this is complete coverage, and barring large sums of money to hire 
    security guards, it's really the best that can be done at sites with 
    controlled entrances.  Such an heavy-handed waiver won't make this 
    effort any easier.  
    
    This waiver gives every incentive to anyone who wishes to participate 
    at an event to deliberately evade the Gate--thus avoiding the waiver 
    AND avoiding paying site fees.  I must take exception to the Board 
    creating incentives for dishonest or unchivalrous behavior.  In 
    addition, such avoidance has the potential to severely impact the 
    revenues of groups hosting events, and (potentially) the Society 
    itself.  At the same time, it actually increases the liability risks.  
    I would suggest that a simpler, less legally tight, waiver might 
    actually do more to reduce the risk of litigation than one that is so 
    tight it squeaks.  Indeed, a simple "Informed Consent" document would 
    probably do as much to actually protect the Society as this waiver 
    really does.  Has anyone taken a serious look at the documents signed 
    for various amateur athletic activities?  Our own history shows that 
    that SCA combat is safer than any commonly played sport.

    During the January 1993 Board meeting in Milpitas, the stated reason 
    for requiring membership for fighters was to reduce paperwork.  It 
    can hardly be claimed that that policy has been given a fair trial--
    especially in light of the very poor way in which it was implemented.  
    This requirement removes any such justification.  Yes, I read the 
    "belt and suspenders" argument, and I must say that I wasn't 
    impressed by it.  I also read the "what if the rules change" argument 
    and wasn't much impressed by that, either.  On another point (below) 
    I will show the second edge to THAT reasoning.  For an active 
    fighter, you are effectively stating that one waiver won't do--you 
    want over 100.  Surely this is absurd.  If you go and talk to those 
    who are fighting you will quickly come to realize that the fighters 
    are probably the least likely threat to the financial well-being of 
    the Society.  The very people that are most likley to sue are the 
    same ones that will evade signing this waiver for any of a number of 
    reasons--from disliking it to being completely unconnected to the 
    Society.   When you get right down to it, you're asking the wrong 
    people to sign.

    Surely you are aware that SCA combat rules change rather slowly now.  
    Each rules change is generally heralded by much discussion and the 
    "fighting community" is well aware of the pending changes.  In most 
    cases, the practical effect of most rules changes is to codify what 
    has already become standard practice.  The fear that someone will sue 
    over a rules change within any given two-year period is to express a 
    great distrust in the very people that your are asking to be 
    honorable enough to sign this waiver at the Gate and at practice 
    sessions.  Clearly there is a problem with depending on such logic.  
    If you can't trust the fighters to behave honorably with respect to 
    rules changes, how can you expect them to behave honorably with 
    respect to abusive documentation requirements?  For that matter, if 
    this is such a serious matter that implementation is urgent, why 
    wasn't it brought up during the year long debate over requiring 
    fighter to be members? 

    You have made the argument that individuals may make claims based on 
    the idea that the rules changed after they signed their membership 
    waiver.  Aside from the fact that you are now requiring them to sign 
    a different waiver than they signed initially, there is the problem 
    of various officers---including Royalty.  You and the Board have 
    "changed the rules" in mid-stream.  If a King who won a Crown Tourney 
    BEFORE this change doesn't wish to sign it, and one of the arguments 
    for it is about "rules changes," what counter-arguments do you 
    propose I use?  Under your own reasoning, I can't make an issue of 
    it.  In such a case, the King is correct.  He shouldn't have to abide 
    by such a change.  As it is, this Kingdom has both Crown and FOUR 
    Coronets that predate this change.  The same logic applies to all 
    Officers whose term of office began before this change.  In the 
    extreme case, it could be applied to everyone whose membership 
    predates the change.  Do you have any suggestions?

    Unlike the current waiver that has been used for non-members for some 
    years, this waiver has no place to name the site owner.  This places 
    any signatory in the interesting position of signing a promise not to 
    sue without any indication of who it is that promise applies to.  
    Would YOU promise not to sue some unspecified person?
   
      
    Now that I have dealt with the substantive problems with this waiver, 
    I wish to deal with some of the logistics.

    In order to implement use of this waiver, I have a "pipeline" to 
    fill.  Even if there are not text changes for foreign countries (and 
    I understand informally that such is not the case), that "pipeline" 
    extends to Australia.  Mail to Australia can take over a month and in 
    some cases never arrives at all.  Prior to the date of 
    implementation, I will need assurances from my deputy in Lochac that 
    the waivers have arrived.  This requires that I get positive 
    confirmation of that fact BEFORE I tell this kingdom to go ahead and 
    use these waivers.  Note that this requires no less than three trans-
    oceanic mailings--of potentially six weeks each.  If there are losses 
    enroute or problems with legality (which I think there are), the 
    process could take quite some time.  That's one country....

    This waiver will require revisions to the West Kingdom Cosntable's 
    Handbook.  Those revisions must be drafted and distributed.  Until 
    all the issues with the waiver are settled, there isn't a lot of 
    point to beginning the revision process.

    Since the West permits minors on site without their parent or 
    guardian, there will need to be enough time between the initial 
    distribution of the waivers and the implementation date to permit 
    copies to get to the parents of such minors as attend events without 
    their parents.

    In all, I think you see why, in light of both implemetation problems 
    and problems with the waiver itself, a June 1 implementation is out 
    of the question.  I look forward to your reply dealing with the 
    points I have made so that I can move forward with implementation in 
    a timely manner.  I will endeavor to minimize the "turn around time" 
    in any correspondence so as not to place undue delays in this 
    process.

    Thank you for your letter of 24 May in response to my questions and 
    concerns about the new waivers. 

    The Seneschal of the West provided me with an official copy of your 
    letters and the new waiver, but I had seen parts of it quoted in 
    various other sources.  Since what I got from Siobhan included your 
    cover letter of 2 May XXIX to Kingdom Seneschals, I have it next to 
    me as I write this and I wish to take the liberty of quoting from 
    it.

        ".... your Royalty and other Officers on the IKD are
        recieving it via regular mail ...."

    Were I to receive such a letter, I would assume that the original 
    sender intended to distribute it directly, and not expect me to 
    forward copies to other Kingdom-level officers.  Indeed, I can find 
    nothing in the cover letter calling for additional distribution.

    On the issue of referring my remarks to Mr. Provine, I note that your 
    letter also states, "If you have any questions about the waiver 
    policy, please direct them to the Executive Director, or to me."  
    Because the problems with the policy arise from within the ranks of 
    Society members, and because some significant fraction of the 
    problems evident to me relate to the policy, I directed my remarks to 
    you as someone who has the greater familiarity with the practical 
    behavior and operations of SCA events.  I fear that Mr. Provine does 
    not share that familiarity, in spite of my efforts to invit him to 
    major West Kingdom events.  
    
    Some years back, somebody recommended a practice he called 
    "Management by Walking Around."  The writer said that managers 
    unfamiliar with the actual workings of the activities under their 
    authority were in a very poor position to manage those activities 
    effectively. 

    On the numbered points in your letter of 24 May:

    1.  Did anyone advise Mr. Provine that implementation on such a short 
    schedule was unlikely to work?  A longer planned implementation might 
    actually have had a chance of putting such a new document into use 
    earlier that a crash implementation.  I draw your attention to the 
    fact that the change to the "Blue Cards" is still having teething 
    problems after several months in effect.  That change was handled 
    entirely at the central office.  The change in waivers will be done 
    throughout the Society.

    As for the liability exposure...  This is at least the fourth waiver 
    to be floated or used in the Society within the last year.  The bald 
    statement that we suddenly have a severe liability exposure, so 
    often repeated wears a little thin.  Is there anyone in the SCA 
    corporate administration who is prepared to give specifics?  At the 
    January Board meeting I specifically asked about the Society's 
    history in this area.  At that time, no member of the Board was able 
    (apparently) to give a coherent answer.  Have things changed in the 
    last five months?  HAS the Society ever been sued over combat 
    activity?  Successfully? 

    I suspect we are dealing not with "risk of liability" but with the 
    "fear of liability."  While some degree of fear is reasonable, the 
    Society's history suggest that the current level of fear is 
    overexagerated.  Since neither Mr. Provine nor Mr. Seely has an 
    actual experience at SCA events, I feel that they are both working in 
    the dark with this issue. 

    2.  I fear that you have mistaken at least one issue with minors.  
    The break-point used for reduced site fees is not normally the age of 
    majority.  The most common change point used at major Western events 
    is 12 years old--well below the age of majority.  There is nothing on 
    the waiver as distributed that permits us to track this for 
    accounting purposes.  Likewise, there is nothing there that allows us 
    to track those minors that are not charged at all because of their 
    extreme youth.

    3.  Thank you for agreeing that some form of marking member vs. non-
    member is needed in the waiver.  I would suggest that a boxed area be 
    set aside for official use--and that whoever designs the layout of 
    the waiver consult with those who will actually use the forms as to 
    the appropriate contents.  This is a point that should not be swept 
    aside.  Some "up-front" consultation on forms design would have taken 
    care of many of my concerns--and that kind of consultation has been 
    lacking in several of the Board's actions in recent months. 

    The problem with "further refinements" is that you are effectively 
    telling me that this form is not stable.  This is saying that this 
    waiver--in form if not in content--is going to be changing in the 
    near future.  In a business environment, this is usually described 
    as "jerking people around," and is not appreciated by the people it 
    happens to.  Do you anticipate this situation will be all that 
    different?  Please--develop a stable form FIRST, then work out the 
    implementation schedule.  That's simply good business practice. 

    As to your last point here, surely you jest.  Do you seriously expect 
    SCA folks to fill out TWO forms at Gate?  Haven't you seen the 
    scrawls people leave on simple, roster, sign-in sheets now?

    4.  I'm sorry, this is one of my hot buttons.  I was Kingdom 
    Chronicler of the West when Jon deCles was Steward in the early 
    1970s.  At that time, we DID print waivers in The Page--as did the 
    other kingdom newsletters.  The only thing worse than printing them 
    was deCles' insistence on individually numbering the damned things.  
    No, I do NOT think that printing waivers in the kingdom newsletters 
    is a practical suggestion.  If it were done now, the size of each 
    newletter would probably expand three- or four-fold. 

    Having dealt with that scheme for waivers I know only too well that 
    great care must be taken to see that two waivers are not printed 
    back-to-back and that extra waivers are available for family members.  
    Please believe me when I tell you not to open this can of worms 
    again.

    The reason that, given Mr. Provine's implementation schedule, I would 
    probably need an initial supply of about 5,000 copies is that I have 
    two large events coming in the next few weeks.  First there is June 
    Crown Tourney which takes place from 17 June to 19 June.  For that 
    event, I expect 1,200 people on site.  Over the July 4th weekend is 
    the West-An Tir War.  At that event, attendence is likely to be in 
    the neighborhood of 1,500 to 2,000.  Since I prefer to supply a 
    significant number of waivers and sign-in sheets to the autocrat of 
    an event ahead of time, ideally I should have twice as many forms as 
    I anticipate needing in the near term.  From the figures I have given 
    here, you can see that (ideally) I should have about 6,500 forms 
    just to cover those two events.  However, as I would use the blanks 
    left over from June Crown for the West-An Tir War, the requirement 
    drops to closer to 5,500.  
    
    This, of course, assumes that the leftover forms are actually blank.  
    The usual practice is to fill in the fixed portion of the forms prior 
    to duplication.  This practice ensures that the signed forms actually 
    contain the relevant information about the site and site owner.  I 
    do not fool myself into thinking that individuals will do this on 
    individual forms.  So the Gate personnel (or someone) must fill out 
    the forms beforehand.  To wait till afterwards, and fill in the 
    blanks after the waivers are signed, would almost certainly void the 
    waivers ("But I didn't know what it said when I signed it!").
    
    This places me in a cleft stick.  This new policy forces me to chose 
    among several poor alternatives.  I can find some way to get that 
    information onto the forms--such as a custom made set of rubber 
    stamps for each event.  I can cause the kingdom to absorb large 
    duplication costs.  I can ask that the forms supplied from the 
    central office come preprinted.  In each of the two latter cases 
    (certainly the easiest for me), the leftover forms are unusable.  I 
    leave it to your imagination which alternative I prefer. 

    5.  While it is true that most of the members in the Far West are US 
    military personnel, I don't think it helps with regard to this 
    waiver.  I know that there have been US civilians active in the Far 
    West in the past, including at least one Baron.  Such people would 
    (presumably) be subject to local Civil Law.  Besides that issue, 
    there is certainly no guarantee that the sites used will be on 
    military bases.  Using local facilities would make civil liability 
    subject to local law. 

     6.  I share your sentiments about the variety of opinions available 
    from the legal profession.  Like economists, if laid end to end they 
    would all point in different directions.  However, all the lawyers I 
    know that have seen the waiver are consistent in their opinion of it: 
    they would refuse to sign it.  There is, ultimately, one set of 
    lawyers whose opinion counts.  Let us hope that neither this or any 
    other waiver language depends upon the opinion of a majority of the 
    US Supreme Court.  What appears to be at stake here is a waiver that 
    a great number of people I know are unwilling to sign with the 
    present text.  Given that, I must ask you: do you think thinning the 
    ranks of active SCA folk is worth such an attempt at absolute safety?  
    Especially in light of the commonly-held opinion that all a waiver is 
    good for is an indication of intent? 

    7.  While it is true that some indemnification language has been in 
    use for some time, it has not been as strongly worded.  Ultimately, I 
    think that the need for a "Waiver of Liability" should be challenged 
    altogether.  An "Informed Consent" might better suit the Society's 
    needs.  Has anyone investigated what other sports, especially martial 
    arts groups and the Civil War Reenactment groups use?  

    8.  It's a good thing the waiver isn't designed to prevent suits by 
    non-SCA participants, because I can see no way that it could.  The 
    problem I see is that it makes SCA participants technically 
    responsible for SCA legal costs incurred by such suits.  The waiver 
    creates a distinctly asymmetrical relationship.

    What concerns me is that this waiver language is creating the 
    incentive for people attending events simply to avoid Gate, to the 
    detriment of both the Society and to the group hosting the event.  It 
    is the INCENTIVE portion of this that concerns me in this and other 
    recent Board actions.  I agree that a good faith effort is all that 
    should be needed, but that requires good faith on the part of the 
    Board and the Corporate Officers. Such good faith has been noticeably 
    lacking lately.  The responses that I anticipate are in reaction to 
    what has happened at the corporate level--not actions taken in 
    isolation.  There is considerable feeling that the Board has broken 
    faith with the membership, and these changes do nothing to allay 
    these feelings. 

    9.  I am not disputing that Royalty and Officers should sign waivers.  
    I merely note that your own argument about changing rules after the 
    fact, and protests that could arise from such changes, apply equally 
    to this sort of change.  Since all combatants in the Crown Lists and 
    all officers must be members, they have already signed waivers--
    waivers that you imply are insufficient to protect the Society from 
    their actions.  Where is the "good faith" in that?  Does the Board so 
    little trust the Royalty and Kingdom Offciers to act "in good faith" 
    that membership waivers aren't good enough?  I consider such a 
    position insulting.  It is a direct slap at MY integrity--and I've 
    been in the Society longer than anyone now serving on the Board. 

    There are many ways to "uphold Law and Corpora."  The problem with 
    putting the issue that way is that it invites strict adherence to the 
    letter with no regard to the spirit.  Yes, I can scour our governing 
    documents and obey every jot and tittle therein, but I doubt the 
    results would benefit anyone.  There is a medieval proverb: "The 
    Devil can quote Scripture to suit his own purposes."  I have no doubt 
    that I can find, within the published Governing Documents, passages 
    that that contravene this waiver and the policies that have been set 
    up concerning it.  That way lies madness and the destruction of what 
    the Society has created.  
    
    The core of what we have is a sport in which the honor of the 
    opponents actually matters.  If we all, fighters or not, turn to 
    rules-lawyering to get our way this will change.  The winners will 
    whine that what they did was "legal" and all the magic of a world 
    that never was but might have been, will vanish.  The origins of the 
    Society are rooted in ideals.  Grubbing around in the rules to 
    justify dishonorable acts will destroy those ideals just as surely as 
    dominance by mundane considerations will.  I think this may be the 
    true failing of the effort to "professionalize" the Society.  It may 
    strip away what makes the Society special.  It is this that frightens 
    me most about having individuals in the position to have a strong 
    influence on the direction of the Society, who do not care enough 
    about it to participate in it. 


    I look forward to receiving word from Mr. Provine on the concerns I 
    expressed.  I hope that you will use your own SCA experience to 
    advise him and to help him to understand where this policy fails to 
    address real needs of the Society and how the policy, as stated, 
    cannot be implemented on the stated schedule.  
    
    Where things now stand is that I am writing this in the evening of 
    May 27th.  I will make every effort to see that it is posted either 
    today or tomorrow.  At best, Mr. Provine will see it on 31 May and 
    that makes it unlikely in the extreme that I will have any word from 
    him on my concerns as early as 1 June--the supposed start date of 
    this policy.  Thus, I cannot even begin implementation by that date. 

    As I understand the situation, this policy was enacted as the first 
    order of business at the April Board Meeting and there was 
    essentially no discussion of its merits.  This is symptomatic of the 
    recent problems in the governance of the Society--action without 
    thought.  At least, action without the thought of the people who must 
    carry out the policies.  You wrote of adhering to the governing 
    documents of the Society.  That knife cuts both ways.  The Board has 
    taken actions in haste where the governing documents call for 
    consultation or without concern for the contents of the governing 
    documents in other ways.  
    
    If "these are the rules--obey them" is the word from the Board and 
    the Corporate Officers, then those in the trenches will research the 
    rules to find out where the Board has violated them.  As you are, no 
    doubt, well aware, we have already seen an instance in which a Court 
    of Law has been used to enforce a clause in those documents.  That 
    was an expensive lesson for all concerned.  I do not look forward to 
    any repeat of it.  Rather, I would prefer to see all levels of the 
    Society work together in amity to solve problems.  This takes 
    cooperation between both the governed and the governors.  This is 
    contrary to the style of modern American business.  The Society is 
    not a modern American business, and no one should attempt to run it 
    like one.  The corporation is a "false front" for the Society to 
    survive in the modern world.  The corporation, as an agent for the 
    Society should serve the needs of the Society, and not the other way 
    around.
    
    Unless and until the governance of the Society ceases to be seen 
    as a top-down, hierarchical autocracy, I predict that there will be a 
    great deal of strain between the formal, legal structure of the 
    corporation and the internal, feudal structure of the Society.  There 
    will be near-continuous warfare between the Kingdoms and the 
    Corporate structures.  This is extremely bad for the well-being of 
    the Society.  Continued too long, it will be an opportunity to find 
    out if the Society can survive without the corporation.  But if 
    things get to that point, the corporation won't last long enough to 
    find out the answer, for it is clear that the corporation cannot 
    survive without the Society to support it.

Below you will find a response to Mr. Provine's attempts to ruin Lilies.  
This is another component in our preparations to meet his anticipated 
interference.

As a general rule, I much prefer to give someone to whom I send such a 
document fair time to consider it without the glare of public attention.  
Unfortunately, this whole issue is extremely time-critical, and that is 
almost entirely due to Mr. Provine's own efforts.  Therefore, after 
consultation with TRM, I have decided to release this document at 
approximately the same time it has been FAXed to Mr. Provine, and sent 
via electronic media to him on the Society BBS.  Simply put, I want the 
Known World to know what actions we have taken in response to the threat 
posed to our Kingdom.  This information may prove critical prior to the 
Board meeting which is scheduled for tomorrow evening.

Again, I wish to stress that we will hold Lilies, whatever Mr. Provine's 
reply to this missive is, or whatever the Board's actions will be 
tomorrow night.  We are prepared with alternate insurance protection, and 
can implement additional contingency plans which Baron Pavel referred to 
if necessary.  What Pavel had to say was true in spirit, if not in all 
the details (which I still prefer to keep off the nets).  Complete 
information will be available at a Kingdom Althing scheduled for the war.

As with my previous missives, this one may be forwarded or cross-posted 
so long as it remains a complete document with these comments.

My thanks to those who have voiced their support for our efforts, and for 
your wishes of success.  It is too soon to tell what the outcome will be, 
but I am cautiously optimistic that we can beat Provine, and then proceed 
to examine the needs of the Corporation and the Society.  Keep your 
fingers crossed...

Dear Mr. Provine:

You have seen fit to purport to withdraw S.C.A. recognition to Calontir
events. You cite two alleged grounds: 

       1. Because our failure to implement the S.C.A. new waiver policy is
a violation "of the rules" that govern the S.C.A.; and

       2. That our failure to implement the new waiver "requirement" is a
danger to the S.C.A. 

Neither of these alleged grounds is valid.

The new Waiver requirement is not one of the rules that govern the S.C.A.
In fact, it is entirely contrary to these rules. Among the rules of the
S.C.A. are the governing and policy decisions and, in particular,
Governing and Policy Decision No. 13 (July 1986, Revised April, 1993),
which as enacted stands as follows: 

       "13.    GENERAL MEMBERSHIP WAIVERS

       1. (Note change indicated takes effect January 1, 1994.) The
General Membership Waiver shall be incorporated into the Membership
Application form, to be filled out by the prospective or renewing member
at the time of the Membership Application form is filled out. The waiver
covers attendance and participation at Society events at which combat
related activities occur. 

       2. A new Membership Card with a condensed form of the waiver text
printed on the back shall be provided to members who have executed the
General Waiver as a part of becoming members or renewing their
memberships. 

       3. The new Membership Card is a proof of membership and proof that
the waiver is on file, and members with such cards may obtain entrance at
any SCA event at which combat occurs by presenting this card and signing a
roster of attendees, as opposed to executing a specific waiver. 

       4. Non-Members and members who have not brought their new
membership cards, are still required to execute the existing waiver and
informed consent to participate, or the site waiver provided at the event,
to attend SCA events at which combat-relate d activities occur." (Emphasis

       This was duly enacted by the Board of Directors, acting as a Board.
I find nothing in the Articles, By- Laws, Corpora, or Governing and Policy
Decisions which would give you authority to overturn this. 

       Approximately 2,000 people are expected at the War of the Lilies.
The overwhelming majority of these people have paid dues to the Society in
reliance upon, among other things, Governing and Policy Decision No. 13. 

       You have absolutely no authority to amend, or otherwise modify that
Governing Board and Policy decision which was adopted by a majority of the
Board of Directors. Your attempts to do so are absolutely ultra vires and,
therefore, void. 

       Just because there was a motion to overturn your policy during a
recent teleconference meeting of the Board, which failed 3-3, does not
mean that your policy is valid.  The Board erred in not seeing at that
time that the policy was already void und er our governing documents, and
will surely correct their error during the teleconference meeting on
Thursday June 9, 199.  You have not had an effective ratification of your
ultra vires attempt to unilaterally, without any authority whatsoever to
do so, amend the By-Laws of the S.C.A. 

       Your statement that our delay in implementing your utterly
unauthorized waiver policy is a danger to the S.C.A. is, under the
circumstances, so ludicrous that is scarcely bears mention. The policy
itself, not our non-compliance, is a danger to the S.C.A.  Your purported
withdrawal of recognition, if it were effective, may reasonably by
expected to cost the S.C.A. numerous members in Calontir, Ansteorra, the
West, and in other Kingdoms. At $35.00 a member per year, this adds up to
a great deal of mo ney, for which you personally could be held liable. 

       Insofar as legal liability is concerned, if the waivers are even
valid under Missouri Law, (which as a Personal Injury Lawyer with 34 years
experience my counsel doubts), their validity would not be enhanced by
repeated re-execution. 

       The Society for Creative Anachronism, Inc. has an express
contractual duty under Governing and Policy Decision No. 13 to require
nothing more of a member wishing to attend an official event than a
display of that member's membership card and a tend er of the site fee.
Those people are entitled to the same insurance coverage enjoyed by all
other members of the S.C.A. 

       Therefore, your purported withdrawal of sanctions for all Calontir
events is unauthorized and void. 

       Counsel informs me that since your action is wholly ultra vires and
void, you stand no higher than any other third party who has tortiously
interfered with the provisions of the contract. Accordingly, it will be
our position that if anyone is damag ed by your action, they should look
directly to you. The persons responsible for running this event certainly
will. 

       You might ask your "counsel", whom you have failed to name, to have
a quick look at the law of Missouri concerning tortious interference with
contract. I am informed by my counsel that punitive damages are allowable.
I am informed by counsel that i t would be appropriate that the lawsuit be
against you personally, since you have acted utterly without authority. 

       In addition, counsel is looking into the possibility of a
derivative lawsuit against you on behalf of the corporation to seek
reimbursement for the damage to it's reputation and of the dues income
which it has lost and is reasonably certain to lose
 in the future on account of your ultra vires acts and, in addition, for 
any other

mismanagement or negligence of which you may be guilty.

OF COURSE, NONE OF US WOULD SUE THE SOCIETY OR THE MEMBERS OF THE BOARD.

       I hereby demand that you immediately by FAX rescind your purported
withdrawal of sanction for Calontir events, and in particular, the event
known as "The War of the Lilies". 

       I further demand that you immediately also by FAX inform each and
every person, including in particular all insurance companies which are
involved or may be involved and the Smithville authorities (Mr. John
Hartman) of the recision and of the fact that it was unauthorized and
void.

I have received your e-mail message of today.  You ask if your kingdom's
good faith implementation of the waiver policy would constitute compliance
with SCA rules and bring your kingdom under the coverage of our general
liability insurance. 

In response, I repeat that unless your kingdom complies with SCA rules
regarding the site waiver requirements, SCA sponsorship for events will be
denied and SCA's insurance coverage will not be available. 

Prior to receiving your message, I had already notified the Director of
Smithville Parks, Recreation and Historic Sites that SCA is not taking
responsibility for the event. A copy of the letter which was faxed and
sent to him is attached. 

Written assurance is now required, on behalf of the kingdom, stating that
your kingdom and its officers intend to implement the site waiver
requirements as outlined in the May 22, 1994 memorandum to you. In order
for Calontir Lilies War VIII to come under SCA's sponsorship and 
insurance coverage, we must receive your written
assurance by no later than 10:00 a.m. (PST) on Thursday, Jun 9, 1994.
Those who have been previously notified of our decision to revoke
sponsorship and insurance coverage will receive prompt notification of 
your kingdom's compliance and our decision to reinstate sponsorship and 
coverage.

This is official notification that the Society for Creative Anachronism,
Inc. (SCA), does not sponsor, endorse or sanction the activity known as
"Calontir Lilies War VIII" to be held at the Kelsey Short Youth Camp at
Smithville Lake, June 11-20, 1994, and that the SCA takes no
responsibility for the activity. 

We have recently been notified by the individuals in charge of this event
(members of a branch of the SCA, known as the Kingdom of Calontir who
reserved the Kelsey Short Youth Camp) that they are unwilling to comply
with the rules and requirements which m ust be met in order to receive
sponsorship from the SCA. Because of this failure to comply with SCA

JA. Enligt Drachenwalds drots artikel i senaste Dragon's Tale p}g}r det en 
utredning om hur de h{r best{mmelserna p}verkar oss _praktiskt_ (t ex kostar 
det en massa pengar att skicka pengar till USA, och waivern borde ha en annan 
formulering) och under tiden ska vi inte oms{tta dem i praktiken. Vi ska 
avvakta vidare info/instruktioner fr}n Drachenwalds drots.

viftaren {r n|dv{ndig, praktisk eller ens laglig utanf|r USA, om BoD faktiskt

"13.    GENERAL MEMBERSHIP WAIVERS

       1. (Note change indicated takes effect January 1, 1994.) The
General Membership Waiver shall be incorporated into the Membership
Application form, to be filled out by the prospective or renewing member
at the time of the Membership Application form is filled out. The waiver
covers attendance and participation at Society events at which combat
related activities occur. 

       2. A new Membership Card with a condensed form of the waiver text
printed on the back shall be provided to members who have executed the
General Waiver as a part of becoming members or renewing their
memberships. 

       3. The new Membership Card is a proof of membership and proof that
the waiver is on file, and members with such cards may obtain entrance at
any SCA event at which combat occurs by presenting this card and signing a
roster of attendees, as opposed to executing a specific waiver. 

       4. Non-Members and members who have not brought their new
membership cards, are still required to execute the existing waiver and
informed consent to participate, or the site waiver provided at the event,
to attend SCA events at which combat-relate d activities occur."

Well, some good news for a change.  According to Peter M. Ellis -- Gavin
Kilkenny of Kilcarren--(SO to the Society Seneschal) "Tony Provine has
been thanked for his services", and Sandra Dodd-- Aelflaed of Duckford has
been apointed interim executive director. 

The waivers are reported to be on hold too.

Greetings from Arval Benicoeur for the Committee to Save Our Society!

This week saw the latest battle in the war that the corporation is waging
against the Society.  The Society offered moderate and well-reasoned
objections to the new policies on waivers and non-member surcharges,
raising important legal concerns and identifying obvious flaws,
contradictions, and implementation problems.  In response, the corporation
revoked its support of major events, threatened royalty and officers with
removal from office and banishment, and endangered the function of the
Society in several kingdoms.  The Society won this battle, forcing the
corporation to back down and eliminate the foci of complaint.  But the war
continues.

In the past days, I have seen many people lay blame for this latest crisis
on Tony Provine.  "Now that they've gotten rid of Provine," many seem to be
thinking, "the Board can solve these problems."  While understandable, this
comfortable logic is profoundly dangerous.  The new waiver policy and the
mandatory non-member surcharge were not imposed by the Executive Director.
Those decisions were made by the directors at their April meeting and
re-affirmed at a telephone meeting within the past two weeks.  Mr. Provine
was merely implementing their decisions.  Now, it is true that the waiver
was Provine's recommendation.  It is also true that his heavy-handed
enforcement exacerbated the crisis.  But responsibility for these policies
belongs to the Board and only to the Board.  At any stage, the directors
could have told him nay, but it took Provine's attempt to cancel a major
event and the consequent protest from across the Society to prompt the
Board to any action at all.  That the Board apparently did not foresee the
consequences of its decisions does not inspire confidence.  We must not
allow the Board to claim to have answered our concerns merely by firing
Provine.  He is a symptom of the real problems.  A very annoying symptom,
but nothing more than a symptom.

Ere I go on, let me make it clear that I respect each and every director
who has served the Society.  Those I know well, I respect and admire.  I
know no reason to believe that any one of them has acted with anything but
the best intentions.  But the time has come to question whether the system
that selected them deserves any support at all, and whether a
million-dollar corporation can be competently run by the people selected by
this system.  I say it cannot.  The system has collapsed.  In the past
year, we have had ten directors and four resignations.  The Board has not
been at its full complement all year.  Major policy decisions made six
months ago have not been implemented, while decisions made in obvious haste
in April have been and in some case are still being enforced with no
apparent attempt to address our valid and vital concerns.  We have gone
through four new waivers in half a year, all of which were clearly issued
without proper legal review, let alone discussion with the membership.  The
Executive Director was scheduled to resign in a few weeks; not only has no
permanent successor been chosen, the search has barely begun.  The
corporation has failed to manage basic paperwork, it has slipped past
another insurance crisis by the skin of its teeth, and it can't keep track
of its finances.

Even at this late date, the corporation could pull us together, work with
us to achieve compromise and sensible evolution with substantive reform.
Currently the corporation - the Board and all its officers - is driving us
apart.  We have asked merely for decentralization; the Board is driving us
to fragmentation.  The changes that the Board has allowed since the January
meeting are compelling the individual kingdoms to become completely
self-reliant.  The more we are forced to make our own way, the harder it
will be to re-unite us in one Society.  The waiver is only one of many
policy changes through which the Board has attempted to re-make the Society
for the convenience of the corporation; to believe that this effort will
suddenly cease would be the height of naivete.

We need real change.  We need a new system designed to serve the Society,
not a new Society tortured to protect the corporation.  I pray that we all
can focus on these unavoidable needs and not be distracted by festering
symptoms.

I agree with most of what Arval has said, no need to quote it all and 
take up bandwidth.  The problem I see now is that the Board members will 
be exhausted.  It's a tough job at the best of times, and the last 6 
months must have been living hell.  The Board is now down 2 directors, 
and an executive director.  They desperately need fresh blood.  The SCA 
is in such a state of flux that my first thought is to take a breather, 
and let the system settle down, then start making deliberate changes to 
do and undo what needs to be done.  However, I think this would be a 
mistake.  The shit is well and truly stirred up.  Letting things settle 
out might freeze the corp and SCA in a dangerous position.  Normally 
corporations exist to do business, but the next order of business is to 
*undo* almost all that has been done since January.  These decisions and 
actions made in haste and under stress are all suspect.  I'd like to look 
back and start from the Dallas meeting, and re-examine the problems in 
light of the experiences since then.  The Board of the day faced the 
circumstances that were pointed out in another posting by Justin de 
Coeur, (if sp, forgive me).  The SCA as structured could not cope with 
the stresses on it, and the system set into place has done substantially 
worse.
Lets rebuild the SCA and corporation from the ground up, setting just the 
bare bones in place.  Let Kingdoms and local groups flesh out those 
bones.  Lets find out exactly what the SCA needs a corporation to do for 
it, and set it up to do just that.  It's an exciting time ahead of us.  
All of us, not just those in offices.

A brief respite would let us reach concensus on what we really do want
(I think the currend discussion over what should and should not be in a
waiver is evidence that we haven`t got there yet) It will also allow

I would differ with you only in the level at which you are seeing the 
problem: hopefully, the kingdoms will incorporate individually, provide 
their own newsletters and insurance.  Then, with the center involved only in 
those tasks that are necessary (the register, TI, selling books, etc.,) most 
of these problems will melt away.

I have noticed people talking like we have just won the war. Nothing could 
be further from the truth. This war is not won until the board is 
accountable to the members, and the books are opened, on a regular and 
timely basis, to any member who asks, anytime.

The situation is much improved; whereas in April the board merely tossed us 
a bone, in this instance they have withdrawn the waivers, fired the 
executive director, and for reasons unknown, the Chair of the Board has 
resigned.  These things happened for one reason only:  Ansteorra went 
independent, and the rest of the SCA was rising up in open rebellion against 
the center by refusing the waivers.

If our other goals are to be realized, it will be only be because the open 
rebellion continues.  There is a lot of work left to be done. DON'T STOP 
PUSHING.  Keep rousing the rabble. Spread the news. Repair the dream.  We 
will win this fight, once and for all, to the betterment of the SCA, and to 
the game we play.

The board does not need the break. We do!  Keep up the pressure until they 
give us one!

might care to make.  The proposal is a first step toward encouraging
broad-based discussion of ways of securing accountability and representation
as rapidly as possible.

A Proposal for Structural Reform of SCA, Inc.
From the Committee to Save Our Society

Introduction.  We believe that the root cause of the crisis in the
corporation since January 22 has been a lack of accountability of the
Board and corporate officers to the advisory membership and a parallel,
contributing lack of representation of the advisory membership on the
Board.  The establishment of the non-SCAdian Executive Director system,
the multiple fiascos involving waivers, pay-to-fight, compulsory membership, 
the non-member surcharge, and the Board's stonewall refusal to make full
financial disclosure to the membership are all the consequences of a
corporate system which is neither accountable nor representative.  The
key to resolving the consequences which have inflicted so much pain on
our Society is structural reform of the corporation to create an
accountable and representative Board and corporation.  The SCA belongs
to the people who play our game -- the populace of the kingdoms.  That
is the belief which fundamentally underlies our proposal.

The Proposal.  We propose a simple, two-step process for achieving
immediate accountability and representation at the corporate level. 
This proposal has been reviewed by attorneys who specialize in
California not-for-profit corporation law, and is consonant with the
requirements of the current state of incorporation.  This proposal
basically makes the individual kingdoms the "stockholders" of SCA, Inc.
	The two steps consist of:
	1.  Amending the Articles of Incorporation, the By-Laws, and
Corpora to provide that:
		a.  The SCA, Inc. recognizes the kingdoms as unincorporated 
		associations or separate corporations (as each kingdom chooses).
		b.  The SCA, Inc. is a membership corporation with statutory 
		members.
		c.  The statutory members of the SCA, Inc. are the individual
		kingdoms.
		d.  The statutory members of the SCA, Inc. have the sole
		power to elect and remove directors and to amend the Articles 
		of Incorporation, the By-Laws, and Corpora.
	2.  Amending Corpora to require that each kingdom establish in its
kingdom law provisions for exercising its rights as a statutory member
of SCA, Inc. in accordance with its traditions and the preferences of
the advisory members in that kingdom.

Advantages of the Proposal.  This proposal has a number of significant
advantages both in comparison to the current system and in
implementation:
	-- It establishes a structural means for obtaining immediate
accountability of the Board and corporate officers to the advisory
membership through the kingdoms.
	-- It makes the Board representative of the advisory membership,
exercising their rights through the kingdom statutory members, while
still retaining the current 5-7 director Board size.
	-- It prevents any recurrence of the events of January 22 and
since by lodging the right to select and remove directors and exclusive
decision making over our governing documents in the people who comprise
the SCA -- the advisory members -- acting through their kingdoms.
	-- It imposes no onerous and expensive legal machinations, can be
rapidly adopted by the Board, and provides immediate accountability and
representation.

And more than that - The US SCA legal counsel and his approach to things was 
only a symptom too. And indeed the performance of the American Board itself.

Australia (Lochac) has its own indemnity. (It being considered more binding 
than a waiver - waivers are also of possible doubtful legal enforceability 
in Australia)

After many instances that I just put down to merely lack of courtesy or 
manners, there have now been some rather serious things happening out here 
(*).  I have become concerned that should there be a law case in the future, 
I may be called on to pay out for damages or legal costs in the future 
(although not necessarily in these current matters). I have been in 
(including positions of President, Treasurer, Secretary, Newsletter Editor, 
Committee members) many other clubs and organisations (Motor Sport, Theatre, 
etc) in my past.

One of the major points of justifying an Incorporation for a hobby group is 
to shield the interests (including financial) of the financial members from 
ravage. Those who do not commit themselves to financial membership but wish 
to partake in activities must do so at their own risk.  My membership 
expires soon. I can no longer with good faith continue to sign any such type 
of waiver that says that I (or my agents) will reimburse any organisation 
that I am a member of. Especially as it may be in the case of something that 
I had no say in or control of.

Just how willing are YOU to totally reimburse your Officers from your own 
pocket if they have been proved to be negligent? Of course some members who 
have no assets can't pay, so those who do have the assets will have to pick 
up their share as well, no doubt. If it is necessary to insure personally 
the Officers of a Corporation against Negligence, then let that be done 
openly. I believe that in Australia (the only country with whose Laws I can 
claim any degree of knowledge), in certain circumstances, the Directors of 
Corporations may be held personally liable for the consequences of their 
actions. So by signing a waiver/indemnity that says that I will repay costs 
of anybody, I may in fact be trying to circumvent what the Law has decided 
(i.e. that those personally responsible be personally liable).

I now have decided that I will not place in possible jeopardy any insurance 
policy of mine (what is the point of paying for it if I invalidate it 
myself?). And if a court decides that damages awarded against someone are 
due, then I will not repay them especially if it is an insurance type 
company (allegedly one of my agents) that brought the case.

And what if the Insurance Company may have decided  that they will not get 
any damages (because there will not be enough assets), but wish to make a 
legal precedent that certain activities conducted by the SCA are not "safe" 
for instance.  Think about that, and how it may affect future insurance 
policies - world wide.

I have had many years of enjoyment with the SCA; unfortunately I do not live 
in a Dream, but the Real World.

I have always believed that financial commitment (membership) to an 
organisation was really necessary. Thus I was not totally against the idea 
(in principle) of "Pay to Play". I hope that a realistic system World Wide 
is able to be found, so that I may again financially commit myself to (and 
participate in) one of my pastimes again.

1). A case of someone in a unit losing his temper on the field and a 
defenceless fighter thereby receiving multiple heavy blows and thus what 
appears to be concussion. The perpetrator has not volunteered who he was, 
and "investigations" seem to be unable to identify him. The person named by 
the victim was a Knight, and he has denied responsibility.

2). A banishment that may still have implications for the membership. Is it 
true that an Officer of the SCA in Lochac gave guarantees of legal indemnity 
to all who were involved in the matter, and that the estimated costs of that 
plus estimated costs of what damages might be awarded appear to be a 
substantial portion of the "missing amounts" that the Board is keen to 
raise? Would that not be possibly placing the Board in the position of 
"defending a policy that the Board does not approve of"? I seem to remember 
such a statement used to justify the non disclosure of the financial 
documents.

My concern here is point c.  Normally statutory members are persons.  A 
corporation can be a person in the eyes of the law.  Does anyone know for 
sure if an unincorporated entity like the majority of the kingdoms can 
act as a statutory member?  Perhaps an easier way to get the same effect 
is to have the kingdoms appoint one person to be "their" statutory 
member.  I suspect that once you have elected a Board of Directors they 
would have the right to alter the Bylaws, though to do so against the 
wishes of the members would get them removed from office in a hurry.  I would
be concerned that the 13 members would essentially become the Board.  If 
that's what we want, then lets set it up that way and have 7 fewer people 
in the decision loop.  *Very* interesting idea.

	California law recognizes unincorporated associations for a number
of legal purposes; according to several experts with whom we have consulted,

Unto all who read these words, greetings from Yaakov and the Committee
to Save Our Society.

I have just received by mail a copy of the judgment of the court and
the Writ of Mandamus issued by Judge Levinger in the matter of Cellio,
et. al., v. SCA, Inc. et al.  All typos are mine, not the court's.
Please note that while two past directors are named in the writ
(Victoria Tisdale, Elizabeth Johnson), our attorney has been
instructed to inform the court that they are no longer directors and
therefore have no authority to carry out the Writ.

Note that the writ was not signed by James Seely, attorney for SCA,
Inc.  It is my understanding that Mr. Seely failed to contact our
attorney, Ernest Goldsmith, in a timely manner so that a conference
could be arranged at a mutually convenient time.  This is the second
time Mr. Seely has failed to contact opposing counsel in a timely
manner.  Mr. Seely also failed to contact our attorney within the
statutory time after Mr. Goldsmith drafted the initial finding of fact
and Writ of Mandamus as per the relevant California statutes and the
order of the court.

It is my understanding that the Writ has been served upon the SCA,
Inc.  Under the terms of the Writ, they have until July 11 to comply
or file for appeal.

It is the policy of CSOS and the plaintiffs in the mandamus suit to
share information as quickly as possible.

JUDGMENT OF THE COURT

This cause came on regularly for hearing before this Court on May 5, 1994, in
Department 2, in the courtroom of the Honorable Mary Jo Levinger, pursuant to
the verified First Amended Petition for Writ of Mandate which was served on
Respondents herein.  Ernest H. Goldsmith appeared as attorney for
Petitioners, James G. Seeley appeared as attorney for Respondents.  The cause
was heard and pleadings and documentary evidence were received.

The cause having been argued and submitted for decision, the Court being
fully advised, the Court finds:

Petitioners are dues-paying members of the Society for Creative Anachronism
("the Society"), and as such, Petitioners are beneficially interested
parties; and,

Pursuant to the Society Bylaws, Article X, Petitioners have the right to
request the books of account of the Society from respondents for review for
reasonable purposes at reasonable times; and,

That the books of account of the Society refer to the financial books of
original entry; and,

The Society Bylaws, Section IV, provides that members of the Society have a
right to impeach the directors by petition, and therefore, to enforce that
right, Petitioners are entitled to obtain from Respondents the membership
lists of the Society, therefore,

IT IS ORDERED, ADJUDGED AND DECREED:

1. That a Peremptory Writ of Mandate issue commanding Respondents to provide
to Petitioners or their agents the financial books of account of the Society
consisting of the books of original entry; and that inspection and
opportunity to copy records be conducted at a reasonable time during normal
business hours; and furthermore, commanding Respondents to provide
Petitioners lists of the names and addresses of all advisory members of the
Society and that Petitioners bear reasonable costs incurred in providing such
lists;

2.  That the Court reserves ruling on the issue of costs of suit and
attorney's fees to Petitioner until the matter is submitted by hearing or
brief to the Court.

A FEW THINGS SCAINC DOES NOT WANT YOU TO KNOW

The Corporation does not want you to know what is in the books of account. 
They are so bent on keeping the books secret that the have violated the 
bylaws, and have forced members of the SCA to spend over $8000 of their hard 
earned cash in order to take them to court to enforce the bylaws.  It is 
extremely rare for a case to come before a court involving a nonprofit that 
will not  obey its bylaws.
The people who have brought the action to open the books need your help. 
Send them a check made out to Terry Nutter, 2511 Manchester St., Blacksburg, 
VA 24060.

The Corporation does not want you to know that in 1990-91, L. James Stewart, 
the Corporate Treasurer, diverted at least $35,452.13 to his own personal 
use, paid himself vast amounts of unauthorized overtime, and bought at least 
$3751.51 in equipment  for his own use.  The Corporation did not discover 
this until after he resigned as treasurer,  indicating very lax business 
procedures. The Corporation only recovered $20,000 dollars of this money 
through a court action.   Although this problem occupied two hours at every 
board meeting in this period, very few of the details were in the minutes, 
 when they should have been printed in detail.  The only reason this 
information is available to you now is because several people on the 
SCA.REFORM net pieced it together, with help from individuals peripherally 
involved.

The Corporation does not want you to know what goes on in board meetings. 
That is why they drastically trimmed what will be printed in TI as minutes, 
they will not allow a tape recorder at a board meeting, and they hold closed 
sessions where the real work gets done, secret from the members. The SCA BoD 
regularly holds teleconferences in which important decisions are made, 
without putting it in the minutes.  Folks, I belong to another nonprofit 
corporation, and if our BoD tried to pull a stunt like that, they would be 
immediately removed from office at the next election. Why do we take this 
kind of abuse from the caretakers of the SCA?

The corporation does not want you to know that the Corporate Counsel, James 
Seeley,  is not working for you, but solely for the BoD. It was Mr. Seeley 
 who wrote, and advised them to use, the widely despised waivers, advised 
them to fight the members who want to see the books of account, and wrote 
the arguments for the court case which failed in every single instance. He 
wrote the arguments under California statute, and the case was decided under 
common law.  It was Mr. Seeley that told the Board not to publish the 
extended minutes.

The Corporation does not want you to get anything in your newsletter that 
might help you to stay informed and make up your own mind on SCA issues.. 
The new publications policy says "Local newsletters exist to provide 
information to their members and... .Articles which cause anger and divert 
people from study and re-creation are not acceptable."  That means that 
while the entire Society is in danger of flying into little pieces, while 
momentous decisions are being made, while kings earn their crowns, and 
Corporate officers are resigning, not one word on the subject ever appears 
in an official SCA publication. The Corporation, on the other hand, has 
taken over a good chunk of TI to propagandize the members about how much it 
needs our cash, and is free to use the publications for any other propaganda 
they see fit.  "Nice member (pat pat) here's your oatcake."  Just keep those 
Corporate approved blinders on.

The Corporation does not want you to know  that the cost of insurance for 
events has nothing  to do with the so-called financial crisis. The cost of 
insurance this year is $60,000, up from about $40,000 last year. The 
membership rate increases and the surcharge are estimated to bring in 
$400,000 above last year.
The Corporation does not want you to know  that reimbursement expenses, for 
SIX PEOPLE, were doubled this year from $45,000 a year ($7500 each) to 
$90,000 a year ($15,000 each).  A very large portion of the Society does not 
make $15,000 a year. I think I could attend at least 50 meetings a year 
without running up this kind of bill; how about you?  What's next? The 
official Board Yacht?

The Corporation does not want you to know  that a kingdom can separately 
incorporate, get its own insurance, run events,  and sell its own 
memberships with a minimum of fuss, and without fouling up its relations 
with the other kingdoms. Ansteorra has done so, with full support of its 
population.  The Estrella compact, signed at Estrella earlier this year, 
specifies that no matter what happens, we will all play our game with each 
other, and recognize each others awards, offices, and titles.  The fact is 
that the kingdoms, not SCAINC, are the SCA.  This is the center of the 
current struggle; SCAINC wants you to believe they are vital to the Society; 
in fact, if the Earth cracked open and swallowed the Milpitas offices, no 
one would notice. Oh, sure, your TI and local newsletter would be late, and 
your blue card would never arrive, but a fair number of gentles are having 
this problem anyway.

If you would like to keep up on events in the reform movement, consider 
subscribing to the SCA Reform list on internet.  The address is:

Make your opinion Known in the Worlde!  Write to the board, and tell them 
what you think. And don't forget to send a check to Terry Nutter to support 
the court action to open the books.  People could lose houses over this, 
they need your help desperately.  When was the last time you spent $8000 on 
a point of principle?

Greetings to all good gentles from Gareth of Stonemarche.

As you know, a California court upheld the right for the membership to the 
Corporate books of account. This legal action was very expensive and largely 
financed by a small group of people. These people are not rich. There is 
some chance that they will be awarded court costs sometime in the next 
several months. "Court costs" is not the same as "legal costs" in the state 
of California--they still have hefty legal bills to pay. There are other 
expenses as well--the phone bill is infernal--and these folks are just 
scraping by.
I don't think this is a fair situation. The entire Society will enjoy the 
benefit of the legal action, but just a handful are paying for it. You've 
heard all the rhetoric before--There Ain't No Such Thing As A Free Lunch, 
the Price of Freedom, etc. Just think for a moment what that really means. I 
am not talking about folks whose sacrifice means that they  are eating 
hamburgers instead of Filet Mignon, or putting off discretionary purchases 
until after Pennsic. I'm talking about people who bet the mortgage money to 
guarantee basic rights of the membership. They paid in advance, they are 
still paying, they will be paying for years, and they paid big--for *you*.
Do the right thing. Pick one moderate discretionary purchase--a new bow, a 
boxed set of CDs, a software game, a bolt of fine cloth, or whatever your 
budget defines "moderate"--and instead donate the money to the legal fund. 
It's not fun, and I can't guarantee a warm fuzzy feeling. But in your heart, 
you know it is the thing to do.

target competitions. Also in competitions using combat blunts marshals or 
archers may be posted down range for the purposes of scoring.

Greetings from Baron Hossein Ali Qomi and the Committee to Save Our Society!
	Several weeks ago we circulated a proposal for the structural
reform of SCA, Inc.  That document proposed:

>The Proposal.  We propose a simple, two-step process for achieving

We made this proposal in order to show _how_ accountability and representation
at the corporate level could be rapidly obtained and to encourage the widest 
possible discussion of such issues.  It was intended as a first step.

An objection has been raised to the proposal which we believe should be
strongly answered.  Some have claimed that the proposal places the
corporation in the hands of the Crowns by making the kingdoms the
statutory members of SCA, Inc.  This is not so.

While many of us are royalists regarding the medieval side of our game, we
are committed to maximizing the democratic participation of the advisory
membership in the mundane corporation.  This isn't a matter of kings or
parliaments.  It is a matter of the people who make up our Society -- the
populace -- controlling the mundane corporation.

Our proposal requires that each kingdom determine how it will exercise
its statutory membership by writing provisions into kingdom law "in
accordance with its traditions and the preferences of the advisory
members."  We fail to see how the preferences of the advisory membership
could be adequately determined without a polling of advisory members in
each kingdom.  This democratic safeguard is built into the proposal.

If a majority of the advisory membership in a given kingdom _chooses_ to
exercise that kingdom's statutory membership through the Crown, then so
be it.  If a majority chooses to exercise the kingdom's statutory
membership through the kingdom seneschal, or an elected representative,
or a curia, or an althing, or whatever means the majority selects, then,
again, so be it.  We want to see the people choose how the kingdom
exercises its statutory membership.  

We are so thoroughly committed to this principle of democratic control
of the mundane corporation that we are prepared to endorse Corpora
mandating that the statutory membership provisions of kingdom law may
not be adopted or amended by anyone -- including the Crown -- without
a binding polling of the advisory membership of the kingdom.

Many in our Society have a tendency to defer to the Crown or the peerages
in such matters.  In the medieval game we play this deference tends to 
encourage a more period ambience.  However, where the mundane corporation is
concerned, where matters pertain to how our money is spent and how the
rules governing our recreation are made, we have have duty to ensure that
everyone has a meaningful voice in the process.

We believe that the people who make up our Society have the right to
control the mundane corporation which facilitates it.
